红星资本局3月13日消息，三棵树（603737.SH）公告称，其于近日已经针对恒大体系内四家公司提交了诉讼申请，诉讼请求涉及金额约1.9亿元。

三棵树与恒大之间的纠纷最早可追溯至2021年6月。三棵树公告内容显示，彼时其子公司所持有的恒大体系内公司出具的商业承兑汇票遭到了拒付。

经过协商，恒大方面称可以49套商品房抵偿相关货款。然而，三棵树方面缴纳了购房定金和差价后，迟迟未能与相关方办理签订《商品房买卖合同》及房产网签备案手续。三棵树称，上述49套房子自2022年6月起被陆续另行出售。

三棵树决定提起诉讼。“截至本公告披露日，鉴于部分诉讼、仲裁案件尚未立案、尚未开庭审理或尚未结案，上述事项对公司本期利润或以后期间利润的影响具有不确定性。”三棵树表示。

以房抵债，但49套房子被另行出售

三棵树全资子公司福建三棵树建筑材料有限公司（下称“三棵树材料”）为案件原告，“恒大系”四家公司深圳市永恒置业有限公司、深圳市建丰房地产开发有限公司、恒大地产集团（深圳）有限公司、恒大地产集团有限公司为案件被告。

据三棵树公告，上述四家公司之间的关系为：恒大集团公司系恒大地产公司的唯一法人股东，恒大地产公司系深圳建丰公司的唯一法人股东，深圳建丰公司系深圳永恒公司的唯一法人股东。

据了解，此前，恒大集团公司的另外4家关联公司与三棵树材料间存在购销合同关系，并以出具38份商业承兑汇票（票面金额1.82亿元）的方式向三棵树材料支付货款共计1.82亿元。2021年6月26日，因上述商业承兑汇票被提示拒付，深圳永恒公司、恒大地产公司经与三棵树材料协商，以深圳永恒公司名下位于深圳恒大都会广场项目共计49套商品房，抵偿上述商业承兑汇票拒付而结欠三棵树材料的货款。当日，三棵树材料以转账的方式向深圳永恒公司、恒大地产公司支付“工抵房意向保证金”20万元。

随后，三棵树材料与对方签订《深圳市房地产认购书》《补充协议》各49份，约定自签订该认购书之日起5日内，签订正式的买卖合同。三棵树材料也按约支付了购房定金288万元和购房差价款约78万元。

三棵树表示，上述房地产认购书、补充协议等签订后，三棵树材料多次要求深圳永恒公司、恒大地产公司办理签订《商品房买卖合同》及房产网签备案手续，并退还“工抵房意向保证金”20万元。

然而，据三棵树公告，深圳永恒公司、恒大地产公司拒不配合签订《商品房买卖合同》和办理房产网签备案手续，也一直未退还“工抵房意向保证金”20万元，并自2022年6月起将三棵树材料认购的上述商品房陆续另行出售。

三棵树的诉讼请求包括了对相关主体偿还货款、购房定金和购房差价款等，合计约1.9亿元。

200亿涂料巨头诉讼缠身，涉案金额累计约3.5亿元

眼下正值年报披露期，作为市值超200亿的国内知名涂料巨头，三棵树近期诉讼缠身，这些涉诉案件对年报的影响尚未可知。

Fujian Sankeshu Building Materials Co., Ltd. (hereinafter referred to as "Sankeshu Materials"), a wholly-owned subsidiary of Sankeshu, is the plaintiff in the case, and the four companies of the "Evergrande Series", Shenzhen Evergrande Real Estate Co., Ltd., Shenzhen Jianfeng Real Estate Development Co., Ltd., Evergrande Real Estate Group (Shenzhen) Co., Ltd., and Evergrande Real Estate Group Co., Ltd. are the defendants in the case.
